Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Sigma Terminal, including our website, terminal app, AI analysis tools, alerts, APIs, subscriptions, and related services (the "Service"). By creating an account, using the Service, or purchasing a plan, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into this agreement. You are responsible for keeping your login credentials secure and for all activity under your account. You must provide accurate account information and promptly update it when needed. We may suspend or close accounts that appear to belong to minors or to violate these Terms.

3. Research Tool Only; No Investment Advice

Sigma Terminal provides market research software, educational content, data organization, AI-generated analysis, portfolio context, and workflow tools. Sigma Terminal is not a registered broker-dealer, investment adviser, financial planner, tax adviser, or legal adviser. Nothing in the Service is a recommendation to buy, sell, hold, short, or trade any security, option, crypto asset, or financial instrument.

You are solely responsible for your investment and trading decisions. You should consider your own objectives, risk tolerance, financial situation, and consult qualified professionals before making financial decisions.

4. Market Risk and AI Risk

Trading and investing involve risk, including possible loss of principal. AI-generated outputs can be incomplete, inaccurate, outdated, or misleading. Market data may be delayed, unavailable, rate-limited, or incorrect. Price targets, scenarios, confidence scores, alerts, and predictions are estimates only and are not guarantees. 5. Plans, Billing, and Cancellation

Some features require a paid plan. Plan features, limits, and pricing are shown in the product at checkout and may change over time. Paid plans renew automatically for the same term unless canceled before the renewal date. Billing is processed by Stripe or another payment processor; we do not store full card numbers. We may send renewal reminders, payment failure notices, and other transactional emails to the address on file. 6. Acceptable Use

You agree not to:

• Use the Service for unlawful, deceptive, manipulative, or abusive activity.
• Reverse engineer, scrape, decompile, overload, or interfere with the Service, its underlying models, prompts, or infrastructure.
• Resell, sublicense, or commercially exploit the Service or its outputs without our prior written permission.
• Share, sell, rent, sublicense, or pool your account, API keys, BYO model keys, or access tokens with unauthorized users.
• Use outputs as the sole basis for trading decisions or represent them as guaranteed advice.
• Connect Service outputs to any automated execution system (broker API, trading bot, smart order router, copy-trading service) without our prior written consent.
• Use outputs to train, fine-tune, distill, evaluate, or benchmark any AI model that competes with the Service.
• Upload or submit content that infringes rights, contains malware, or violates law.

7. API Access

If your plan includes programmatic API access, you are responsible for securing your API keys, complying with rate limits and documentation, and rotating keys you believe are compromised. Each API key may be revoked at any time for abuse, security risk, excessive load, credential compromise, or violation of these Terms. API output may not be redistributed or used to build a competing product without our prior written consent.

8. User Data and Submitted Content

You may enter watchlists, portfolio positions, liquidity figures, preferences, notes, API keys, and other data ("Your Content"). You retain ownership of Your Content. You grant Nguyen Ngoc Minh Quan (d/b/a Sigma Terminal) a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative works of Your Content solely to operate, secure, improve, and provide the Service to you. This license ends when you delete Your Content, except for copies kept for backup, billing, legal, or security purposes for a reasonable period.

9. AI Outputs

The Service uses AI providers (currently Anthropic and similar) to generate analysis, summaries, and other outputs ("AI Outputs"). As between you and us, you may use AI Outputs for your personal, non-commercial research, subject to these Terms. AI Outputs are provided "as is" and may be inaccurate. You may not:

• Use AI Outputs to train, fine-tune, distill, evaluate, or benchmark any competing AI or financial-analysis product.
• Republish AI Outputs as a paid service, syndicate them to third parties, or resell them in any form.
• Claim AI Outputs as your original authored work in regulated, advisory, fiduciary, or research-credit contexts.

Because AI Outputs are generated by machine learning models that may produce similar outputs for other users, no exclusivity is granted to you in any particular Output.

10. Third-Party Services and Data

The Service relies on third-party providers, including market data vendors, AI model providers, authentication providers, email providers, hosting providers, and payment processors. Their services may be unavailable, delayed, inaccurate, or subject to their own terms. We are not responsible for third-party services. See the Data Provider Disclaimer and AI Disclaimer.

11. Intellectual Property

Sigma Terminal, including the software, design, brand, prompts, workflows, documentation, marketing copy, and the way our tools structure AI output, is owned by Nguyen Ngoc Minh Quan (d/b/a Sigma Terminal) or its licensors and is protected by intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service as expressly permitted. No other rights are granted by implication, estoppel, or otherwise.

12. Service Changes and Availability

We may change, suspend, limit, or discontinue any part of the Service at any time. We do not guarantee uninterrupted availability, specific market data coverage, model availability, model accuracy, or compatibility with every device or browser. If we materially reduce paid features mid-billing-period, your sole remedy is a prorated refund or credit for the affected period as we reasonably determine.

13. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Nguyen Ngoc Minh Quan (d/b/a Sigma Terminal) disclaims all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that AI Outputs or market data will be correct.

14. Limitation of Liability

To the maximum extent permitted by law, Nguyen Ngoc Minh Quan (d/b/a Sigma Terminal) and its officers, directors, employees, contractors, affiliates, and licensors will not be liable for lost profits, trading losses, lost opportunities, lost data, business interruption, indirect damages, consequential damages, special damages, punitive damages, or damages caused by market data errors, AI errors, model hallucinations, or third-party service failures, even if advised of the possibility of such damages.

Our aggregate liability for any and all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us in the three months before the event giving rise to the claim, or (b) US $100.

Nothing in this Section 14 limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, death, or personal injury where such limitation is prohibited.

15. Indemnity

You agree to defend, indemnify, and hold harmless Nguyen Ngoc Minh Quan (d/b/a Sigma Terminal) and its officers, directors, employees, contractors, affiliates, and licensors from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, Your Content, your trading or investment decisions, or your violation of any law or third-party right.

16. Termination

You may stop using the Service at any time and may close your account through the Service or by contacting support. We may suspend or terminate your account or any feature at any time if you violate these Terms, create risk for the Service or other users, fail to pay fees, or use the Service abusively or unlawfully. Sections 8 (license to your content surviving deletion only as permitted), 9 (AI Outputs restrictions), 10–11 (third-party services, IP), 13–15 (disclaimers, liability cap, indemnity), and 17–18 (governing law, arbitration) survive termination.

17. Governing Law

These Terms and any dispute arising out of or relating to the Service or these Terms are governed by the laws of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. To the extent any claim is not subject to the arbitration agreement in Section 18, the state and federal courts located in Wilmington, Delaware have exclusive jurisdiction, and you and we waive any objection to that venue.

18. Binding Arbitration and Class-Action Waiver

Please read this Section carefully. It affects your legal rights.

You and Nguyen Ngoc Minh Quan (d/b/a Sigma Terminal) agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms ("Dispute") will be resolved by binding individual arbitration, not in court, except as set out below. Arbitration will be administered by the American Arbitration Association (AAA) under its then-current consumer arbitration rules, in Wilmington, Delaware, in the English language, before a single arbitrator. The arbitrator's award is final and may be entered as a judgment in any court of competent jurisdiction.

Class-action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding.

Carve-outs. Either party may bring an individual action in small-claims court for any dispute within that court's jurisdiction, and either party may seek injunctive or equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual-property rights.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to terminalsigmasupport@gmail.com within 30 days of first accepting these Terms. The notice must include your name, account email, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

If this Section 18 is held unenforceable in whole or in part, the unenforceable part is severed and the remainder of these Terms continues to apply.

19. Singapore Users

If you access the Service from Singapore, the following apply in addition to (and to the extent of any conflict, in priority over) the rest of these Terms for Singapore consumers:

• Electronic Transactions Act 2010. You agree that electronic acceptance of these Terms, electronic signatures, and electronic records constitute valid, enforceable agreements under the Electronic Transactions Act 2010 (Singapore).
• Financial regulation. Sigma Terminal is not regulated by the Monetary Authority of Singapore (MAS) and is not a licensed financial adviser under the Financial Advisers Act 2001 (Singapore). See the Financial Disclaimer.
• Consumer Protection (Fair Trading) Act 2003. Nothing in these Terms excludes or limits any consumer right that cannot be excluded under Singapore mandatory consumer-protection law, including the CPFTA. To the extent any limitation in these Terms is unenforceable against a Singapore consumer, that limitation applies to the maximum extent permitted by Singapore law and the remainder of these Terms continues to apply.
• Personal Data Protection Act 2012. Our handling of your personal data is governed by the Singapore section of our Privacy Policy. Our designated Data Protection Officer is identified in that policy.
• Goods and Services Tax. Singapore GST may be added at checkout or charged by our payment processor on our behalf where required. See the Billing and Cancellation Policy.
• Alternative dispute resolution. Singapore consumers may also pursue a complaint through the Consumers Association of Singapore (CASE) or other consumer-mediation channels, in addition to the arbitration option in Section 18.

20. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will give reasonable notice by email, in-app notice, or by updating the "Last updated" date and posting on this page. Continued use of the Service after the effective date of updated Terms means you accept them. If you do not agree to updated Terms, your remedy is to stop using the Service.

21. General Provisions

• Entire agreement. These Terms, together with policies referenced from them, are the entire agreement between you and Nguyen Ngoc Minh Quan (d/b/a Sigma Terminal) regarding the Service and supersede any prior agreements.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
• Force majeure. Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including acts of God, war, civil unrest, internet, power, hosting, or payment-processor outages, or government action.
• Notices. We may give notice by email to the address on file, in-app notice, or by posting on this page. You may give notice to us at terminalsigmasupport@gmail.com or by mail to Hanoi, Vietnam.
• Independent contractors. Nothing in these Terms creates a partnership, agency, joint venture, employment, or franchise relationship.
• Third-party beneficiaries. These Terms do not give any third party rights to enforce them.
• Headings. Section headings are for convenience and do not affect interpretation.
